Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Otech Labs LLC, a Connecticut limited liability company ("Otech Labs," "we," "us," or "our"), governing your use of SkillCore — the SkillCore website, mobile apps, and related services (together, the "Service"). Please read them carefully.

By creating an account or using the Service, you agree to these Terms. If you are using SkillCore on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

1. The Service

SkillCore is a platform for recording, verifying, and exporting proficiency and qualification records for skilled trades. It helps organizations track who is qualified to perform work, and helps individual tradespeople maintain a portable Skill Passport. SkillCore is a record-keeping and workflow tool. It is not a certifying body, a licensing authority, or a guarantor of any person's competence (see Section 9).

2. Eligibility

You must be at least 18 years old (or the age of majority where you live) to use SkillCore. By using the Service you represent that you meet this requirement and that the information you provide is accurate.

3. Accounts

Individual accounts. Personal Skill Passport accounts are free.

Organization accounts. Organizations may create shop accounts, invite members, and manage subscriptions.

You are responsible for keeping your login credentials secure and for all activity under your account. Notify us promptly at contact@otechlabs.io if you suspect unauthorized use.

4. Subscriptions, billing, and cancellation

Free tier. Individual Skill Passport accounts are free. Some tools are available without an account.

Paid plans. Organizations may subscribe to paid plans. Subscriptions and payments are handled by Stripe. Paid plans may include a free trial; unless you cancel before the trial ends, the plan converts to a paid subscription at the then-current price.

Renewals. Subscriptions renew automatically for the billing period selected (monthly or annual) until cancelled.

Cancellation. You may cancel at any time from the web billing portal; access continues through the end of the paid period. Billing and subscription management are handled on the web, not inside the mobile apps.

Refunds. Except where required by law, payments are non-refundable. [Confirm your refund practice with counsel and state it here.]

Taxes. Prices exclude applicable taxes, which you are responsible for.

5. License to use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not resell, sublicense, or provide the Service to third parties except as expressly permitted.

6. Your content and data

Ownership. You retain ownership of the content and data you submit ("Your Content"), including profile information, career notes, and records you enter.

License to us. You grant Otech Labs a worldwide, non-exclusive license to host, process, display, and transmit Your Content solely to operate and provide the Service to you and your organization.

The Skill Passport model. Your Skill Passport belongs to you and is portable. Your organization controls which credentials it verifies and projects onto your Passport, as described in our Privacy Policy. Verification records are auditable and, within an organization, append-only.

Responsibility for accuracy. You are responsible for the accuracy of the information you enter. Verifiers are responsible for the accuracy of the verifications they record.

7. Verification integrity

SkillCore enforces a no-self-attestation rule: a person may not verify or sign off on their own work. Verifications record the verifier, method, and time. You agree not to circumvent, falsify, or misuse the verification system, and not to record verifications you are not authorized or qualified to make.

8. Acceptable use

You agree not to:

• Use the Service in violation of any law or regulation.
• Enter false, misleading, or fraudulent records, or impersonate any person or organization.
• Access or attempt to access another organization's or user's data without authorization.
• Interfere with, disrupt, probe, or reverse-engineer the Service, or bypass its security or access controls.
• Upload malware or use the Service to store or transmit unlawful, infringing, or harmful content.
• Use the Service to build a competing product.

We may suspend or terminate accounts that violate these Terms.

9. Trades disclaimer — important

SkillCore is a record-keeping and workflow tool. It is not a professional license, certification, or accreditation, and it does not certify, guarantee, or warrant any individual's competence, safety, or fitness to perform any task.

• SkillCore records the assessments and verifications entered by you and your organization; it does not independently evaluate skill and does not replace hands-on judgment.
• SkillCore is not a substitute for any required license, certification, permit, code compliance, manufacturer procedure, employer policy, OSHA or other workplace-safety requirement, or applicable law or standard (including but not limited to AWS, ASE, NEC, EPA, IMC/IFGC, IPC/UPC, ASSE, NFPA, AS9100, or ISO requirements).
• You remain solely responsible for ensuring that any person performing work is properly licensed, qualified, supervised, and permitted to do so under applicable law and your own policies, and for the safety and quality of all work performed.
• Reliance on SkillCore records for staffing, safety, or compliance decisions is at your own risk and is your responsibility, not ours.

10. Intellectual property

The Service, including its software, design, branding ("SkillCore," logos), and content we provide, is owned by Otech Labs and protected by intellectual-property laws. Except for the license granted to you, we reserve all rights. You may not use our name or marks without our prior written permission.

11. Third-party services

The Service integrates third-party services (for example, Stripe, Supabase, OneSignal, and Google/Apple sign-in). Your use of those services may be subject to their own terms and privacy policies. We are not responsible for third-party services.

12. Termination

You may stop using the Service and delete your account at any time (Settings → Delete my account). We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. On termination, the license in Section 5 ends; provisions that by their nature should survive (including Sections 6, 9, 13–17) will survive.

13. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY RECORD OR EXPORT WILL MEET ANY PARTICULAR REGULATORY OR AUDIT STANDARD.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OTECH LABS AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless Otech Labs and its owners and employees from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, Your Content, your violation of these Terms, or your violation of any law or third-party right — including any claim arising from staffing, safety, or compliance decisions you made in reliance on SkillCore records.

16. Changes to the Service and these Terms

We may modify or discontinue the Service, and we may update these Terms from time to time. When changes to these Terms are material, we will update the "Last updated" date and, where appropriate, notify you. Your continued use after changes take effect constitutes acceptance.

17. Feedback

If you send us feedback or suggestions, you grant us the right to use them without restriction or obligation to you.

18. Governing law and disputes

These Terms are governed by the laws of the State of Connecticut, without regard to its conflict-of-laws rules. [Choose one, on counsel's advice:]

• Any dispute will be resolved by binding arbitration on an individual basis; you and Otech Labs waive the right to a jury trial and to participate in a class action.

19. Miscellaneous

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Otech Labs regarding the Service.

Severability. If any provision is found unenforceable, the rest remains in effect.

No waiver. Our failure to enforce a provision is not a waiver.

Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
